Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the access to and use of the Naviia software platform (the “Service”), operated by Tamar.ai, a company incorporated under French law.

The Service is provided exclusively to business and professional users (B2B).  
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

2. Scope of the Service

Naviia is a Software-as-a-Service (SaaS) platform designed for corporate finance professionals, enabling AI-powered workflows and intelligent agents.

• Access to the SaaS platform
• User accounts and permissions
• All features, tools, and services provided through the platform

3. Intellectual Property Rights

All intellectual property rights related to the Service, including but not limited to software, source code, algorithms, workflows, interfaces, trademarks, and documentation, are and shall remain the exclusive property of Tamar.ai / Naviia.

Nothing in these Terms shall be construed as transferring any intellectual property rights to the user.

Clients retain full ownership of all data, documents, and content they upload to the platform.

4. Restrictions

You are expressly prohibited from:

• Selling, sublicensing, renting, leasing, or commercializing the Service or any part thereof
• Using the Service for any unlawful, fraudulent, or abusive purpose
• Circumventing or attempting to circumvent security measures or access controls
• Engaging in data mining, scraping, harvesting, or extraction of platform data
• Reverse engineering, decompiling, or attempting to derive the source code
• Using the Service or its outputs to train or develop competing AI models or services
• ⁠Interfering with the integrity, performance, or availability of the Service

Any violation of these restrictions may result in immediate suspension or termination of access.

5. User Content and Client Data

Users may upload or submit content, data, and documents (“User Content”) to the Service.

By using the Service, you represent and warrant that:
•⁠  ⁠You have all necessary rights and authorizations to upload and process such User Content
•⁠  ⁠The User Content does not infringe any third-party rights or applicable laws

You grant Naviia a non-exclusive, limited, and revocable license to process User Content solely for the purpose of providing the Service.

Naviia does not claim ownership over User Content and does not reuse it for any other purpose.

Naviia reserves the right to remove or restrict access to any User Content that violates these Terms or applicable laws.

6. No Warranties

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Naviia makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

In particular, Naviia does not warrant:
•⁠  ⁠That the Service will be error-free or uninterrupted
•⁠  ⁠That AI-generated outputs will be accurate, complete, or suitable for any specific business or financial decision

AI outputs are provided for informational and support purposes only and must not be relied upon as the sole basis for decision-making.

7. Limitation of Liability

To the maximum extent permitted by law, Naviia shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.

In any event, Naviia’s total aggregate liability shall be limited to the total amount paid by the client for the Service during the twelve (12) months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Naviia from and against any claims, liabilities, damages, losses, or expenses arising out of:
•⁠  ⁠Your breach of these Terms
•⁠  ⁠Your unlawful use of the Service
•⁠  ⁠Any User Content you submit that infringes third-party rights or applicable laws

9. Changes to the Terms

Naviia reserves the right to modify these Terms at any time.

Material changes will be communicated to clients through appropriate channels. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of France.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France.
